ARTICLE I - NAME

Section 1

The name of this organization shall be: the BAY STATE MARAUDERS

ARTICLE II - PURPOSE AND GOALS

Section 1

The BAY STATE MARAUDERS decisions and authority must adhere to Federal, State and City laws and to other legal statutes, policies and other regulations of recognized legal agencies.

Section 2

The BAY STATE MARAUDERS shall be a nonprofit organization.

Section 3

The BAY STATE MARAUDERS is a fellowship of members, primarily leather/Levi oriented whose purpose is to develop character and leadership in the spirit of friendship, brotherhood and goodwill.

ARTICLE III – MEMBERSHIP

Section 1 - Type of Memberships

  1. The BAY STATE MARAUDERS, at thus time shall consist of the following categories of members: Charter, Active, In-Active, Associate, Honorary and Alumnus.

Section 2 - Qualifications for Active Members

  1. The BAY STATE MARAUDERS membership is restricted to adults 21 years old and over who meet all other qualifications for membership and who are elected into the club pursuant to the Constitution and By-Laws.
  2. Applicants must have the recommendation of a member in good standing.
  3. Applicants must attend two General Club Meetings and any two of the following that may occur during the course of their pledge hood: 1. BAY STATE MARAUDERS regular meeting, 2. Any club function or social event.
  4. Applicants must be accepted by a two-thirds vote of the membership present and voting. Absentee voting shall be allowed and counted as if the absentee members were present.
  5. Only active members in good standing have voting privileges. Voting shall be by secret ballot.

Section 3 - Qualifications for Associate Members

  1. Applicants must desire to identify with the social activities of the BAY STATE MARAUDERS.
  2. Applicants must attend any two of the following: 1. BAY STATE MARAUDERS regular meeting, 2. Any club function.
  3. Applicants must be recommended for membership by an active member.
  4. Applicants are accepted by a two-thirds vote of the membership present and voting.
  5. Associate members do not have voting privileges.

Section 4 - Qualifications for Honorary Members

  1. Honorary Membership may be awarded by a two-thirds vote to a person who embodies the spirit of the BAY STATE MARAUDERS.
  2. An Honorary Member may only enjoy the social privileges of the BAY STATE MARAUDERS.
  3. Honorary Members do not have voting privileges.

Section 5 - Qualifications for Alumnus Members

  1. Alumnus Members must have been an active member of the BAY STATE MARAUDERS.
  2. Alumnus membership may be awarded by a two-thirds vote of the voting membership.
  3. An Alumnus Member may only enjoy the social privileges of the BAY STATE MARAUDERS.
  4. Alumnus Members do not have voting privileges.

Section 6 - Qualifications for Charter Members

  1. Charter Members are those members who initially voted to establish the BAY STATE MARAUDERS.
  2. Charter Members shall be identified in all club publications, pins, and other evidence of the BAY STATE MARAUDERS.
  3. Charter Members have all rights and privileges of Active Members.

Section 7 

A Member of the BAY STATE MARAUDERS may also be an Associate member of other clubs.

Section 8

All Active and Alumnus Members are encouraged to wear the Club patches.

Section 9 

A copy of the Constitution of the BAY STATE MARAUDERS shall accompany membership applications to prospective active or associate members.

ARTICLE IV - CLUB DUES

Section 1

Active Member’s dues are $5.00 per month.

Section 2

Active Members with dues 60 days in arrears will lose their voting privileges.

Section 3

Active Members with dues 90 days in arrears will be subject to review by the Executive Board and subject to dismissal by a two-thirds vote of the total voting membership. However, dues may be suspended under mitigating circumstances.

Section 4

Associate Member’s dues are set at $30.00 per year due on their anniversary date.

Section 5 - Leave of Absence

  1. A member may take a leave of absence with proper notification to the President and the Treasurer. His financial obligation will be waived during that period of time only, if the leave of absence is approved by two-thirds of the voting membership.
  2. Leave of absence shall be for a period of one year subject to review. At that time the voting membership may elect to extend or terminate the leave by a two-thirds majority.
  3. A member on leave of absence shall be considered an In-Active Member and shall have no voting privileges, but shall have all social privileges.

Section 6

Upon termination of membership for an reason voluntary or involuntary any dues paid in advance shall be refunded.

Section 7

Honorary, Alumnus, and In-Active Members shall not be subjected to dues.

ARTICLE V - ATTENDANCE

Section 1

All Active Members are expected to attend BAY STATE MARAUDERS meetings and functions. Attendance shall be taken by the Secretary.

Section 2

Absences shall be classified as either participation or nonparticipation.

  1. Participation – A member must notify another club member who will be in attendance of their absence from the BAY STATE MARAUDERS meeting or function.
  2. Nonparticipation – An absence from a BAY STATE MARAUDERS meeting or function without prior notification shall be considered unexcused.

Section 3 

Active Members with 3 consecutive nonparticipation absences will be subject to review by the Executive Board, which may recommend dismissal of the member. Dismissal must be approved by a two-thirds vote of the total voting membership.

ARTICLE VI - NOMINATIONS OF OFFICERS

Section 1

Nominations will be taken at the meeting prior to the election meeting.

Section 2

Any Active Member in good standing may be nominated or he can nominate himself for one or two Officer positions. However, he can only accept one office.

ARTICLE VII - ELECTIONS OF OFFICERS

Section 1

Election of Officers will be held one month prior to the Annual Meeting. Newly elected Officers shall take office at the Annual Meeting.

Section 2

Each voter must be an active member in good standing.

Section 3 

Each Active Member of the BAY STATE MARAUDERS shall be entitled to cast one vote for each vacancy of the Executive Board.

Section 4

Officers of the BAY STATE MARAUDERS will be elected by the Active Members by secret ballot.

Section 5 

A candidate must receive a majority of the total votes cast, if no candidate receives said majority then the top two candidates shall run off and the candidate then remaining who receives a majority shall be elected. Run off election shall occur immediately after the initial election is held.

Section 6

Absentee ballots will be accepted: proxies will not be accepted. Absentee ballots must be accepted by the Secretary prior to the election.

Section 7

Prior to the balloting the Secretary shall provide each active member with a ballot with the names of each candidate for each office printed there on. In the event of a run off the Secretary shall make available to each active member present at the election a ballot for the members on which to vote. Absentee ballots and proxy votes will not be allowed at run off elections.

Section 8

Should an office, other than President or Treasurer; become vacant the Executive Board shall appoint an Active Member to fill the position until a new election is held.

Section 9

An election for the vacated office shall be held by secret ballot within one month of its vacancy by the active membership. The newly elected officer’s term shall run concurrently with the terms of existing officers.

ARTICLE VIII - EXECUTIVE BOARD OF THE BAY STATE MARAUDERS

Section 1

The MARAUDERS shall elect officers as follows to represent the MARAUDERS and shall be known as the Executive Board.

  1. President
  2. Vice President
  3. Treasurer
  4. Secretary
  5. Road Captain

Section 2 

The term of the office for each elected BAY STATE MARAUDERS Officer shall begin and end on the date of the Annual Meeting. Term length shall be one year./

ARTICLE IX - TERM LIMITS

Section 1

No member shall hold the same elected office for more than 2 consecutive terms.

Section 2

To be considered a full term served, an officer must serve at least half of the term of office.

ARTICLE X - DUTIES OF THE BAY STATE MARAUDERS

Section 1

The President shall preside over and conduct all meetings; prepare with the assistance of the Vice President and others the agenda for each meeting; to establish committees and make other special appointments; ensure appropriate use of club colors.

President
Job Description

General Description:

General oversight of Executive Committee of the Board (Vice President, Treasurer, Executive Secretary, Road Captain and Webmaster); overall oversight and direction of the organization; advancement of the constitution of the organization and new and present membership and activities thereof.

Major Responsibilities:
  • The President shall preside over and conduct all meetings
  • Prepare with the assistance of the Vice President and others the agenda for each meeting
  • To establish committees and make other special appointments
  • Ensure appropriate use of club colors
Qualifications:
  • Member in good standing
  • 21 years of age

Section 2

The Vice President shall assist the President in conducting meetings; conduct meetings in the absence of the President; to serve the remainder of the President’s term should the President not be able to fulfill his term; assist the President in the preparing of the agenda for each meeting; ensure appropriate use of club colors.

Vice President
Job Description

General Description:

Under the direction of the President, the Vice President shall assist the President in his responsibilities.

Major Responsibilities:
  • The Vice President shall assist the President in conducting meetings
  • Conduct meetings in the absence of the President
  • To serve the remainder of the President’s term should the President not be able to fulfill his term
  • Assist the President in the preparing of the agenda for each meeting
  • Ensure appropriate use of club colors
Qualifications:
  • Member in good standing
  • 21 years of age

Section 3

The Treasurer shall be responsible for the funds of the BAY STATE MARAUDERS and account for them; make all payments and expenditures as approved by the BAY STATE MARAUDERS Membership; maintain accurate records of such income and expenditures and file such records in a safe place; make financial reports to the membership at each regular meeting; notify members if they are delinquent in their dues; shall pay all financial obligations under the direction of an authorized Officer.

Treasurer
Job Description

General Description:

Under the direction of the board, the treasurer is responsible for the overall budget of the organization.

Major Responsibilities:
  • The Treasurer shall be responsible for the funds of the BAY STATE MARAUDERS and account for them
  • Make all payments and expenditures as approved by the BAY STATE MARAUDERS Membership
  • Maintain accurate records of such income and expenditures and file such records in a safe place
  • Make financial reports to the membership at each regular meeting
  • Notify members if they are delinquent in their dues
  • Shall pay all financial obligations under the direction of an authorized Officer

  • Member in good standing
  • 21 years of age

Section 4

The Executive Secretary shall record accurate minutes of all Club Meetings and transcribe them, and forward to webmaster to be posted for general membership viewing; keep and file complete sets of the minutes; maintain an official list of the names, addresses and telephone numbers of the members and forward to webmaster to be posted for general membership viewing; assist the President and the Vice President in preparing the agenda for each meeting; shall call the membership roll at meetings; prepare an accurate voting list; prepare and establish procedure to process ballots; read all correspondence received at the Regular Meetings.

Executive Secretary
Job Description

General Description:

The Secretary has responsibility for the overall administrative functions of the club, and reports to the general board, as necessary.

Major Responsibilities:
  • The Executive Secretary shall record accurate minutes of all Club Meetings and transcribe them, and forward to webmaster to be posted for general membership viewing
  • Keep and file complete sets of the minutes
  • Maintain an official list of the names, addresses and telephone numbers of the members and forward to webmaster to be posted for general membership viewing
  • Assist the President and the Vice President in preparing the agenda for each meeting
  • Shall call the membership roll at meetings
  • Prepare an accurate voting list
  • Prepare and establish procedure to process ballots
  • Read all correspondence received at the Regular Meetings
Qualifications:
  • Member in good standing
  • 21 years of age

Section 5

The Road Captain shall be responsible for housing and other accommodations for the BAY STATE MARAUDERS and visiting members from other clubs; coordinating road trips and club runs; ensuring appropriate use of, protection of, and appropriate use of, club colors; inventorying and retaining possession of club assets; electronically distribute, via email, club activities, invitations and notifications that are club bar nights, club meetings, and proper distribution of other clubs’ invitations.

Road Captain
Job Description

General Description:

The role of the Road Captain is to distribute all proper notifications to the general membership.

Major Responsibilities:
  • The Road Captain shall be responsible for housing and other accommodations for the BAY STATE MARAUDERS and visiting members from other clubs
  • Coordinating road trips and club runs
  • Ensuring appropriate use of, protection of, and appropriate use of, club colors
  • Inventorying and retaining possession of club assets
  • Electronically distribute, via email, club activities, invitations and notifications that are for sanctioned club bar nights, club meetings, and proper distribution of other clubs’ invitations.
Qualifications:
  • Member in good standing
  • 21 years of age

* Please note: The Road Captain is not responsible for processing invitations of individual members to other individual members of non-official club activity.

ARTICLE XI - CENSURE AND IMPEACHMENT

Section 1

Any member of the BAY STATE MARAUDERS may be brought up for censure upon substantiated charges. These charges may include but are not limited to violation of the BAY STATE MARAUDERS Constitution, and/or by-laws, violation of another member’s rights or violation of a civil or criminal statute. Censure can take the form of formal reprimand, suspension or expulsion from the BAY STATE MARAUDERS, censure may include Impeachment. For censure and impeachment see the by-laws.

ARTICLE XII - MEETING OF THE BAY STATE MARAUDERS

Section 1

The meetings of the BAY STATE MARAUDERS shall consist of –

  1. Regular Meetings which shall be held at least once each month.
  2. Executive Meetings which shall be held as needed.
  3. Committee meetings which shall be held as needed.
  4. Special Meetings which may be called by the President or the majority of the BAY STATE MARAUDERS. Each member of the BAY STATE MARAUDERS will be notified at least one week prior to a Special Meeting, of the time, place, date and purpose of the meeting, which shall be limited to the exact purpose for which it was called.

Section 2

A quorum shall exist when 51% of the voting members are present at Regular and Special Meetings.

Section 3

All voting shall be by the majority of votes of two-thirds present unless it is stated otherwise herein.

Section 4

Robert’s Rules of Order Revised shall guide all meetings of the BAY STATE MARAUDERS in all cases to which they are applicable, and in which they are not inconsistent with the Constitution of the BAY STATE MARAUDERS.

ARTICLE XIII - BY-LAWS

Section 1

The BAY STATE MARAUDERS members may enact any By-Laws which they deem necessary for the proper functioning and procedure or which may be necessary to carry out the Articles of this Constitution as long as such By-Laws are not in contradiction to this Constitution and are approved by two-thirds of the voting membership of the BAY STATE MARAUDERS.

Section 2

The By-Laws shall be voted each year at the Annual Meeting by a majority vote of those present.

ARTICLE XIV - AMENDMENTS TO THE CONSTITUTUION

Section 1

Any Active Member may propose amendments to this Constitution.

Section 2

A Committee of three shall be appointed by the Chairman of the Rules Committee and will review any and all proposed amendments to this Constitution and then report back to the membership with its recommendations at the next Regular Meeting.

Section 3

All proposed amendments to the Constitution must be approved by two-thirds of the total voting membership.

ARTICLE XV - RATIFICATION

Section 1

This Constitution and Amendments thereto must be ratified by two-thirds of the total voting membership of the BAY STATE MARAUDERS.
